Terms of Service for Stenoly

§ 01

About Stenoly

Stenoly AS ("Stenoly") offers a subscription-based documentation service that helps healthcare professionals and other professionals transcribe consultations and meetings worthy of documentation using advanced AI technology. By using Stenoly, the Customer accepts these terms of use.

§ 02

Subscription and Microphone

2.1

Subscription Period

At the start of the subscription, the Customer receives a microphone on loan at no extra cost. The microphone is only on loan while the subscription is active. If the Customer terminates the subscription within twelve (12) months, the microphone must be returned to Stenoly within 30 days. Failure to return may result in the Customer being invoiced a fee of NOK 2490.

2.2

Microphone and Equipment

The Customer must have the necessary equipment and sufficient internet connection to use the service.

§ 03

Prices

3.1

Pricing

The price for the Customer's subscription is stated at initial registration. Stenoly reserves the right to adjust the price of the service on an annual basis. If the new price exceeds changes in the consumer price index, this will be notified 30 days before the end of the period. If the Customer continues to be a customer of Stenoly after the notification period, the new price shall be considered accepted between the parties.

3.2

Price Changes

Stenoly reserves the right to change these terms. Notice of significant changes will be given at least 30 days in advance. Continued use after the changes is considered acceptance of the new terms.

§ 04

Right of Use and Permitted Use

4.1

Scope of Right of Use

The Customer receives a non-exclusive, time-limited right to use the service in accordance with the agreement. The right of use does not grant the right to modify, copy, or reproduce the service or underlying software.

4.2

Limitations

Unauthorized access, sharing of user accounts, or exploitation of the service is not permitted. In case of breach of these terms, Stenoly may terminate access immediately.

§ 05

Responsibility for Accuracy of Transcriptions

Stenoly facilitates accurate transcription, but the Customer is responsible for reviewing and correcting all transcriptions before integration into medical record systems. Stenoly disclaims responsibility for decisions based on transcribed data, and total liability cannot exceed the amount the Customer has paid in subscription during the period.

§ 06

Data Processing and Privacy

6.1

Data Processor Role

Stenoly acts as a data processor for personal data in accordance with GDPR and relevant health legislation. The Customer is responsible for complying with applicable privacy legislation in their use of the service, including obtaining necessary consent from patients.

6.2

Data Deletion

To protect privacy, all transcription data is automatically deleted within 24 hours of processing. Users can choose to manually delete data before the 24-hour period expires, if desired. Data cannot be recovered after deletion, and the Customer is advised to save necessary content immediately.

§ 07

Filtering of Identifiable Information

Stenoly uses automatic filters to limit identifiable information in transcriptions. This helps protect patients' confidentiality and ensures that the Customer's data does not include information that can identify individuals. However, the Customer is responsible for reviewing filtered content for compliance with confidentiality standards.

§ 08

Availability and Maintenance

8.1

Availability

Stenoly strives for high availability of the service but cannot guarantee continuous uptime.

8.2

Scheduled Maintenance

Periodic maintenance, updates, and technical challenges may lead to temporary unavailability. The Customer will be notified in advance of scheduled downtime when possible. Stenoly cannot be held responsible for losses or costs resulting from downtime.

§ 09

Security and Confidentiality

9.1

Data Storage

Data is processed on European servers (Microsoft) to ensure confidentiality.

9.2

Customer Security Responsibility

The Customer is responsible for protecting their login information and preventing unauthorized access. Suspected misuse must be reported immediately. In case of security breaches, Stenoly may close the Customer's access without notice.

§ 10

Intellectual Property Rights

10.1

Ownership

Stenoly and its licensors own all rights to the service, including concept, design, trademarks, trade secrets, and software.

10.2

Feedback and Suggestions

Suggestions or feedback given to Stenoly may be freely used by Stenoly without compensation to the Customer.

§ 11

Customer Responsibilities and Limitations

11.1

Technical Requirements

The Customer is responsible for having the necessary equipment and sufficient internet connection to use the service.

11.2

Error Reporting

The Customer undertakes to report any errors or problems without undue delay. Stenoly shall not be held responsible for losses or costs associated with misuse or failure to comply with these terms.

§ 12

Changes to Terms of Use

Stenoly reserves the right to change these terms. Notice of significant changes will be given at least 30 days in advance. Continued use after the changes is considered acceptance of the new terms.

§ 13

Termination

13.1

Notice Period

The Customer may terminate the subscription with one calendar month's notice.

13.2

Consequences of Termination

Access to the service ends at the end of the notice period. All borrowed equipment must be returned in accordance with the terms in section 2.1.

§ 14

Transfer of Agreement

14.1

Customer Transfer

The Customer may not transfer their rights or obligations under this agreement without written consent from Stenoly.

14.2

Stenoly Transfer

Stenoly may transfer the agreement to another company as part of a merger or business transfer.

§ 15

Governing Law and Dispute Resolution

15.1

Governing Law

The agreement is governed by Norwegian law.

15.2

Venue

Any disputes arising in connection with the agreement shall be decided by Oslo District Court.

§ 16

Medical Device Status

Stenoly is a Class I medical device under Regulation (EU) 2017/745 on medical devices (EU MDR). The product is intended for documentation purposes — to assist healthcare professionals in producing, structuring, and improving consultation notes — and is not intended for diagnosis, treatment, or clinical decision support.

Stenoly's intended purpose is to support documentation workflows. The service does not provide medical advice, diagnoses, or treatment recommendations. Clinical responsibility for the content of any note remains with the healthcare professional using the service.
